These Terms of Use are effective from the date of last update above and supersede all prior versions.

The following terms and conditions will be deemed to have been accepted by the User on usage of the website www.AIMCOR.io . You are requested to read them carefully before You use the services of this site.

The term User shall refer to the user who is browsing the site (interchangeably used with ‘You’). The term ADEPTSTATION shall refer to ADEPTSTATION VENTURES PVT. LTD. The term Site refers to www.AIMCOR.io owned and monitored by ADEPTSTATION. By using the Site, You agree to follow and be bound by the following terms and conditions concerning your use of the Site. If You are agreeing to use the services on behalf of your company or organization, You agree that You represent the organization and have the authority to accept this agreement on behalf of your organization. ADEPTSTATION may revise the Terms of Use at any time without notice to You. Areas of the Site may have different terms of use posted. If there is a conflict between the Terms of Use and terms of use posted for a specific area of the Site, the latter shall have precedence with respect to your use of that area of the Site.

AIMCOR, the software is a property of ADEPTSTATION and is the sole owner of all the code, copyrights and intellectual property rights related to it. The Services offered by ADEPTSTATION are software updates to AIMCOR, hosting and support services.

The services will be available to You via the internet browser (specific browsers versions as applicable) and You will need an internet connection to access our services.

ADEPTSTATION takes best measures to ensure high-quality customer experience in every interaction. This following document is indicative of the scope, terms of support, exclusions, release, and deployment schedule that will be applicable to all customers who have subscribed for AIMCOR Services. It covers the scope, inclusions, exclusions, categorization, resolution details of what is covered under our standard support contract.

This support agreement is subject to change with 30 days' prior written notice to customers. Continued use of the service after such notice constitutes acceptance of the updated agreement.

ADEPTSTATION may terminate User’s access immediately upon written notice in the event of a breach of these Terms. Where termination is not due to a breach by the User, ADEPTSTATION will provide 30 days’ written notice prior to termination. The provisions regarding disclaimer of warranty, accuracy of information, and indemnification shall survive such termination. ADEPTSTATION may monitor access to the Site. In case of termination during the subsistence of a subscription period, ADEPTSTATION shall consider refunds, if any on a case to case basis provided the User has adhered to all terms and conditions specified by ADEPTSTATION at the time of purchase. If You have not purchased our services after a specified period, then we have a right to terminate access. We will hold your data for a period of 30 days post termination of access on expiry of subscription of for any reason whatsoever, during which time it may be available for You to download. After this period, we do not guarantee making your data available and bear no responsibility if such data could be lost.

All content present on this site is the exclusive property of ADEPTSTATION. The software, text, images, graphics, video and audio used on this site belong to ADEPTSTATION. No material from this site may be copied, modified, reproduced, republished, uploaded, transmitted, posted or distributed in any form without prior written permission from ADEPTSTATION. All rights not expressly granted herein are reserved. Unauthorized use of the materials appearing on this site may violate copyright, trademark and other applicable laws, and could result in criminal or civil penalties. The Site, and all content, materials, information, software, products and services provided on the Site, are provided on an “as is” and “as available” basis. ADEPTSTATION expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

ADEPTSTATION may change or discontinue any aspect of its web site at any time, including, its content or features. ADEPTSTATION reserves the right to change the terms and conditions applicable to use of the Site. Such changes shall be effective immediately upon notice, which shall be placed on the Site. We reserve the right to modify, suspend or discontinue all or any portion of the Site at any time, with or without notice. Unless stated otherwise, any new features to the current Site shall be subject to these Terms of Use. This Site is currently accessible to users without charge, however, we reserve the right to charge users for access to or use of any portion of the Site in the future. These Terms of Use may be modified by ADEPTSTATION from time to time. For material changes, ADEPTSTATION will provide at least 14 days' notice via email to the registered account address. Any such changes will also be posted on the Site. Your continued use of the Site after the notice period shall be deemed acceptance of the modifications.

ADEPTSTATION and its directors, officers and employees shall not be liable for any direct, indirect, special, incidental, exemplary or consequential damages (including damages for loss of business, loss of profits, litigation or the like) arising out of (a) the use of the site, (b) the content on the site, (c) web sites linked to this site and the content, goods and/or services provided therein (d) any decision made or action taken by You in reliance upon the information within, or content of, the site, and/or (e) the inability to use the site and content contained therein (including, but not necessarily limited to, loss of profits, goodwill or savings, downtime, damage to or replacement of programs and data), whether based in contract or tort (including negligence), product liability or otherwise (but excluding claims arising out of personal injury or death) even if advised of the possibility of such damages. ADEPTSTATION cannot and does not guarantee continuous, uninterrupted or secure access to the site. The provisions of this paragraph will survive any termination of this agreement. Some states do not allow the limitation of liability, so the foregoing limitation may not apply to You. Notwithstanding anything to the contrary in this Agreement, ADEPTSTATION's total aggregate liability to any customer arising out of or related to this Agreement shall not exceed the total fees paid by that customer to ADEPTSTATION in the twelve (12) months immediately preceding the claim.

You agree to indemnify, defend and hold ADEPTSTATION harmless from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, arising out of or relating to any misuse by the User of the content and services provided on the Site. The information contained in the Site has been obtained from sources believed to be reliable. ADEPTSTATION disclaims all warranties as to the accuracy, completeness or adequacy of such information.

ADEPTSTATION makes no warranty that: (a) the Site will meet your requirements; (b) the Site will be available on an uninterrupted, timely, secure, or error-free basis; (c) the results that may be obtained from the use of the Site or any services offered through the Site will be accurate or reliable. ADEPTSTATION does not make any warranties, express or implied, including, without limitation, those of merchantability and fitness for a particular purpose, with respect to any information, data, statements or products made available on the Site.

You are responsible for complying with the laws of the jurisdiction from which You are accessing this site and You agree that You will not access or use the information on this site in violation of such laws. Unless expressly stated otherwise herein, any information submitted by You through this site shall be deemed non-confidential and non-proprietary. You represent that You have the lawful right to submit such information and agree that You will not submit any information unless You are legally entitled to do so. Because of the open nature of the Internet, we recommend that You do not submit information You consider confidential.

The User’s right to privacy is of paramount importance to ADEPTSTATION. Any information provided by the User will not be shared with any third party unless identified as such elsewhere. ADEPTSTATION reserves the right to use the information to provide the User a more personalized online experience. We host your data at international data centres and the service levels offered by them will be applicable to You. We will reasonably put all effort to ensure that the servers managed by us are up and running 24x7.

The Site may provide links to web sites and access to content, products and services from third parties, including users, advertisers, affiliates and sponsors of the Site. You agree that ADEPTSTATION is not responsible for the availability of, and content provided on, third party web sites. The User is requested to peruse the policies posted by other web sites regarding privacy and other topics before use. ADEPTSTATION is not responsible for third party content accessible through the Site, including opinions, advice, statements and advertisements, and User shall bear all risks associated with the use of such content. ADEPTSTATION is not responsible for any loss or damage of any sort User may incur from dealing with any third party This Terms of Use constitutes the entire agreement between You and ADEPTSTATION with respect to this Site. ADEPTSTATION maintains this site in India with some information stored in servers located outside India and You agree with these terms of use. The foregoing is subject to the laws of the Republic of India and the courts in Vadodara, India shall have the exclusive jurisdiction on any dispute that may arise out of the use of this site.

By accessing and using AIMCOR, you agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the AIMCOR application or any part thereof
• Resell, sublicense, or provide access to AIMCOR to any third party without prior written consent from ADEPTSTATION
• Use AIMCOR for any unlawful purpose or in violation of any applicable local, national, or international law or regulation
• Use automated scripts, bots, or tools to scrape, extract, or bulk-download data from the AIMCOR platform or its APIs
• Share login credentials across multiple organisations or allow unauthorised personnel to access your AIMCOR account
• Attempt to gain unauthorised access to any part of the platform, its servers, or any connected systems
• Upload or transmit any content that contains malware, viruses, or any other malicious code
• Use AIMCOR to store or process data in a manner that violates the privacy rights of any individual

ADEPTSTATION reserves the right to suspend or terminate access immediately upon discovering any violation of this section, without prejudice to any other remedy available under law.

ADEPTSTATION acknowledges that all business data stored by the customer within AIMCOR, including but not limited to production records, batch data, financial transactions, inventory, and employee information, is confidential and proprietary to the customer. Confidential Information also includes any compilations, summaries, or extracts prepared by either party based on such information.

ADEPTSTATION shall treat all customer data as confidential and shall not access, use, disclose, or share such data except: (a) as necessary to provide, maintain, and support the AIMCOR service; (b) as expressly permitted in writing by the customer; or (c) as required by applicable law or a valid court order, in which case ADEPTSTATION shall notify the customer to the extent permitted by law.

This obligation of confidentiality shall survive the termination or expiry of the customer's subscription for a period of three (3) years.

The customer similarly agrees to treat any non-public information received from ADEPTSTATION — including pricing, technical architecture, product roadmap, and business processes — as confidential and not to disclose it to any third party without prior written consent from ADEPTSTATION.

During the term of this Agreement and for two (2) years thereafter, neither party shall directly solicit or recruit the other party's employees who were involved in the delivery or use of AIMCOR services. For clarity, general job postings or advertisements not specifically targeting the other party's employees shall not constitute a violation of this clause.

Neither party shall, at any time during or after the term of this Agreement, make disparaging or defamatory statements about the other party, its products, services, officers, directors, or employees, whether verbally, in writing, or on any online forum or social media platform.

Access to AIMCOR is provided on a subscription basis. The following terms apply to all subscriptions:

• Billing cycle: Subscriptions are billed in advance on a monthly or annual basis as selected at the time of purchase.
• Auto-renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled by the customer at least 7 days before the renewal date.
• Price changes: ADEPTSTATION will provide at least 30 days' written notice before any change in subscription pricing takes effect.
• Payment failure: In the event of a payment failure, ADEPTSTATION will notify the customer and provide a grace period of 7 days to resolve the payment. Access may be suspended after this period if payment remains outstanding.
• Suspension vs termination: Suspension due to non-payment preserves customer data. Termination results in data being held for 30 days as per the Privacy Policy before permanent deletion.

ADEPTSTATION shall not be liable for any delay or failure to perform its obligations under this Agreement where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic or epidemic, government orders or restrictions, internet or telecommunications infrastructure failures, power outages, or actions of third-party service providers including cloud hosting providers.

ADEPTSTATION will make reasonable efforts to notify affected customers and to restore service as soon as practicable following any such event.

This Agreement shall be governed by and construed in accordance with the laws of the Republic of India.

In the event of any dispute arising out of or in connection with this Agreement, the parties shall first attempt to resolve the matter through good faith negotiations within 30 days of written notice of the dispute.

If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Vadodara, Gujarat, India. The language of arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

The courts of Vadodara, Gujarat, India shall have exclusive jurisdiction for any interim relief or matters not subject to arbitration. Any agreement, purchase order, or other document entered into with ADEPTSTATION that does not expressly override this clause shall be subject to this governing law and jurisdiction.

These Terms of Use, together with the following documents incorporated herein by reference, constitute the entire agreement between You and ADEPTSTATION with respect to the AIMCOR service and supersede all prior or contemporaneous agreements, representations, or communications, whether oral or written:

• Privacy Policy — governing the collection, use, and processing of personal data
• Service Level Agreement (SLA) — governing uptime commitments and support services
• Refund Policy — governing eligibility and process for refunds

In the event of any conflict between these Terms of Use and any incorporated document, these Terms of Use shall prevail unless the incorporated document expressly states otherwise.
